KERCA Customer Marketplace Terms

Version / Versión 2026-09-16

English Controlling Version

1. Acceptance eligibility and electronic records

By creating or using a KERCA Customer account, submitting a service request, communicating through the platform, clicking the acceptance button, or electronically signing, the Customer agrees to these Terms, the Privacy Notice, Community and Review Standards, payment terms, and policies incorporated by reference. The Customer must be at least eighteen years old and legally capable of contracting. Electronic acceptance is intended to be enforceable under applicable Florida and federal electronic transaction laws.

2. KERCA is a marketplace

KERCA provides technology that helps customers connect with independent service professionals. KERCA does not itself perform or supervise listed services and, unless expressly stated in a separate signed agreement, is not the contractor, employer, agent, guarantor, insurer, architect, engineer, inspector, repairer, or seller of the professional service. The service agreement is directly between the Customer and the selected Professional.

3. Professional profiles badges and due diligence

Profiles, ratings, reviews, identity checks, background check indicators, license information, insurance information, approval labels, and badges are informational. They describe a process or information reviewed at a particular time and do not guarantee current status, character, skill, safety, price, quality, legality, or suitability for a particular project. The Customer is responsible for evaluating the Professional, checking references, confirming the person arriving, and independently verifying current licenses and insurance with the issuing authority or insurer before work begins.

4. Service requests and sharing information

When the Customer submits a request, KERCA may share the request, contact information, location, photos, description, and other relevant information with selected or eligible Professionals so they can respond. The Customer represents that submitted information is accurate and that the Customer has authority to request work at the property. KERCA does not guarantee that a Professional will respond, accept, be available, or offer a particular price.

5. Choosing and contracting with a Professional

The Customer chooses the Professional and must obtain a clear written estimate or contract before work. The contract should identify the legal provider, scope, exclusions, price or pricing method, materials, schedule, permits, deposit, payment schedule, cancellation terms, warranties, and change order process. KERCA is not responsible for negotiating, interpreting, enforcing, or guaranteeing that contract unless KERCA expressly offers a separate written service.

6. Licenses permits insurance and regulated work

The Customer must not ask a Professional to perform illegal or unsafe work. For services requiring state or local authorization, the Customer should verify the exact license category and status through Florida DBPR or the applicable local authority and confirm who will pull required permits. A KERCA badge does not replace this verification. The Customer should obtain a current certificate of insurance directly from the insurer when risk warrants it and confirm workers compensation compliance for construction work.

7. Estimates pricing deposits and changes

Prices shown in profiles or educational tools may be estimates and are not binding unless included in a customer Professional agreement. The Customer is responsible for reading the final estimate, confirming materials and exclusions, and approving written change orders before added work when practicable. The Customer must not make a deposit or payment outside the agreed terms, pay an unverified person, or authorize work the Customer does not understand. Taxes, permits, disposal, travel, material changes, hidden conditions, and third party charges may affect the final price if properly disclosed and authorized.

8. Property access safety and accurate disclosures

The Customer must provide safe and lawful access, disclose known hazards, pets, occupants, alarm or gate instructions, hazardous materials, structural concerns, and conditions that could affect the work. The Customer must secure valuables, supervise minors, avoid entering unsafe work areas, and follow reasonable safety instructions. The Customer represents having authority to authorize access and the requested work. KERCA is not an emergency service; immediate threats to life, fire, gas, electricity, flooding, crime, or safety should be directed to 911 or the appropriate emergency authority.

9. Payments refunds disputes and chargebacks

If the Customer pays through KERCA or Stripe, the Professional remains the seller of the services. The Customer authorizes the disclosed amount and applicable fees and must use a payment method the Customer is authorized to use. Refunds, deposits, cancellations, warranties, disputed work, and chargebacks are governed by the customer Professional agreement, payment provider rules, these Terms, and applicable law. KERCA may collect evidence, facilitate communication, or place lawful temporary restrictions, but does not promise to reimburse a claim unless a specific written protection program expressly applies.

10. Cancellations scheduling and no shows

The Customer and Professional are responsible for agreeing on scheduling, arrival windows, cancellation charges, material commitments, and weather delays. The Customer must give reasonable notice of access problems or cancellation. KERCA is not liable for a user's delay, no show, cancellation, lost time, material restocking charge, or consequential loss. Any platform specific cancellation charge must be disclosed before it is imposed.

11. Messages calls texts and email

KERCA may send account, security, request, matching, appointment, payment, support, and transactional communications using the contact information supplied by the Customer. Consent for marketing, when requested, is optional and separate. The Customer may revoke marketing consent using stated opt out methods without losing the core service. Communications with Professionals should remain relevant, respectful, and safe. The Customer must not misuse a Professional's contact information or continue contact after a valid request to stop.

12. Communication monitoring and call recording

KERCA may store, review, moderate, transcribe, and disclose in platform messages and related metadata as reasonably necessary for delivery, support, fraud prevention, safety, legal compliance, and dispute resolution, as described in the Privacy Notice. If a telephone call may be recorded or transcribed, KERCA will provide a disclosure designed to obtain prior consent from all participants where required, including under Florida Statutes section 934.03. A Customer who does not consent should end the recorded call and use an available nonrecorded channel.

13. Reviews ratings and truthful feedback

A review must reflect the Customer's genuine experience and honest opinion. The Customer may not submit a fake, paid, copied, retaliatory, discriminatory, extortionate, or knowingly false review; review a service never received; use multiple accounts; disclose private information; or demand money or unpaid work in exchange for changing a review. Incentives, if any, may not be conditioned on positive sentiment and must be disclosed. KERCA may label reviews by verification method, investigate abuse, request evidence, remove prohibited content, and preserve records.

14. Customer content license and permissions

The Customer retains ownership of content the Customer lawfully owns. The Customer grants KERCA a worldwide, nonexclusive, royalty free, transferable and sublicensable license to host, reproduce, format, display, distribute, moderate, and use submitted requests, text, photos, videos, reviews, and related content to operate, secure, improve, and promote the platform, subject to the Privacy Notice. The Customer represents having necessary rights and permissions, including permission to upload images of people, homes, property, work, or documents, and must not upload confidential, illegal, deceptive, infringing, or harmful content.

15. Community safety and prohibited conduct

The Customer may not engage in fraud, discrimination, harassment, threats, violence, sexual misconduct, unlawful surveillance, theft, credential misuse, spam, hacking, scraping, malware, impersonation, fake reviews, payment fraud, unsafe instructions, illegal services, infringement, or misuse of personal information. KERCA may provide reporting and blocking tools and may restrict or remove accounts or content to protect users or comply with law. Serious or immediate threats should be reported to law enforcement, not only to KERCA.

16. Privacy and account security

KERCA's Privacy Notice explains collection, use, sharing, retention, deletion, service providers, security, and user choices. The Customer must protect passwords and verification codes, promptly report unauthorized access, and avoid sending sensitive financial or identity information through ordinary chat. KERCA will use reasonable measures designed to protect personal information and will address qualifying breaches under Florida Statutes section 501.171 and other applicable law. No system can be guaranteed completely secure.

17. Disputes between customers and professionals

The Customer should first notify the Professional promptly, describe the concern, preserve photos, estimates, contracts, receipts, change orders, messages, and payment records, and allow a reasonable opportunity to respond when safe and appropriate. KERCA may facilitate communication or request information but is not obligated to decide workmanship, licensing, payment, warranty, property, injury, or contract disputes. The Customer may retain all nonwaivable rights against the responsible Professional and may contact insurers, licensing authorities, law enforcement, consumer agencies, or courts as appropriate.

18. Suspension termination and deletion

KERCA may reject, restrict, block, suspend, or terminate access for safety risk, false information, abuse, fraud, chargeback manipulation, harassment, illegal requests, policy violations, or misuse. Immediate action may be taken to prevent harm. The Customer may close the account, subject to unresolved transactions, record retention, fraud prevention, legal holds, and other lawful requirements. Provisions concerning payments, records, content licenses, privacy, disclaimers, liability, indemnity, releases, disputes, and general terms survive as appropriate.

19. No warranty by KERCA

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED AS IS AND AS AVAILABLE. KERCA DOES NOT GUARANTEE THE IDENTITY, BACKGROUND, LICENSE, INSURANCE, CHARACTER, SAFETY, AVAILABILITY, PRICE, QUALITY, WORKMANSHIP, PAYMENT PRACTICES, OR CONDUCT OF ANY USER; THE ACCURACY OF USER CONTENT; CONTINUOUS OPERATION; OR A PARTICULAR RESULT. KERCA'S REVIEW OR DISPLAY OF INFORMATION DOES NOT REPLACE CUSTOMER DUE DILIGENCE. NONWAIVABLE CONSUMER RIGHTS AND WARRANTIES REMAIN UNAFFECTED.

20. Limitation of KERCA liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KERCA AND ITS OWNERS, AFFILIATES, PERSONNEL, AND VENDORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST USE, LOST DATA, LOST PROFITS, PROPERTY DAMAGE, PERSONAL INJURY, OR USER CONDUCT ARISING FROM SERVICES PROVIDED BY USERS. KERCA'S AGGREGATE LIABILITY ARISING FROM THE PLATFORM WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR FEES THE CUSTOMER PAID DIRECTLY TO KERCA DURING THE TWELVE MONTHS BEFORE THE EVENT. THIS LIMIT DOES NOT APPLY WHERE PROHIBITED OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

21. Customer indemnification

To the fullest extent permitted by law, the Customer will defend, indemnify, and hold harmless KERCA and its owners, affiliates, personnel, and vendors from third party claims, losses, penalties, and reasonable legal costs arising from the Customer's unlawful or wrongful conduct; property or access instructions; content; misuse of another person's information or payment method; breach of these Terms; or infringement of another person's rights. This obligation does not apply to the extent caused by KERCA's own conduct or where prohibited by law.

22. Release concerning user conduct

Because KERCA is not the service provider, the Customer releases KERCA from claims arising solely from a Professional's acts, omissions, work, personnel, estimates, contracts, delays, property damage, injury, payment, warranty, or user to user dispute, except to the extent caused by KERCA's own nonwaivable liability. Nothing waives a right that applicable law does not allow the Customer to waive.

23. Informal resolution arbitration and class waiver

Before filing a claim against KERCA, the claimant must send a detailed written notice using the legal notice method then displayed by KERCA and allow thirty days for good faith informal resolution. Except for an eligible individual small claims action, intellectual property injunctive relief, or a claim that law makes nonarbitrable, disputes between the Customer and KERCA will be resolved by individual binding arbitration under the Federal Arbitration Act and the applicable Consumer Arbitration Rules of the American Arbitration Association. No class, collective, consolidated, representative, or private attorney general proceeding is permitted. The arbitrator may award individual relief available in court. The Customer may opt out by sending a signed notice within thirty days after first accepting these Terms. This section must be reviewed by Florida counsel before use and applies only to the extent enforceable.

24. Governing law and general terms

Florida law governs without regard to conflict rules, except that the Federal Arbitration Act governs arbitration. For matters properly heard in court, the parties consent to state or federal courts in Hillsborough County, Florida, unless mandatory consumer law requires another forum. If a provision is unenforceable, it will be limited or severed while the remainder continues. No waiver is continuing. The Customer may not assign the account or Terms without consent. KERCA may assign them with a reorganization, financing, or platform transfer. Electronic notices are effective when sent to the account email or displayed in the app. These Terms, incorporated policies, and transaction specific terms are the entire agreement concerning platform use.

25. Changes to terms

KERCA may update these Terms for legal, safety, operational, or product reasons. KERCA will identify the effective date and provide reasonable notice of material changes. Continued use after the effective date constitutes acceptance only where permitted by law. KERCA will request new affirmative acceptance when required or when a material change affects arbitration, payment authorization, data use, or another right requiring renewed consent.
